These Terms & Conditions (“Terms”) govern your access to and use of services provided by Saasence, including its website, technology services, consulting engagements, and related digital platforms (collectively referred to as the “Services”).

By accessing the website https://saasence.com or engaging with any Saasence services, you acknowledge that you have read, understood, and agreed to these Terms. If you do not agree with these Terms, you should discontinue use of the Services.

For the purposes of this document:

• Saasence, “we”, “us”, or “our” refers to Saasence
• Customer, “Client”, “you”, or “your” refers to the individual or entity using the Services
• Together they may be referred to as the “Parties”, and individually as a “Party.”

1. Eligibility

• You are at least 18 years of age and legally capable of entering into binding agreements.
• If accepting these Terms on behalf of an organization, you confirm you have the authority to bind that organization.
• Your use of the Services complies with all applicable laws and regulations.

2. Definitions

Account
Any user account created to access Saasence services, portals, or applications.

API
Application programming interfaces developed or made available by Saasence that allow integration with external systems or software.

Customer Data
Any data, files, messages, information, or materials submitted by a customer while using the Services.

Confidential Information
Information shared between the Parties that is not publicly available and would reasonably be considered confidential.

This does not include information that:

• Is already publicly available
• Becomes publicly available without breach of these Terms
• Was known prior to disclosure
• Was obtained lawfully from another source
• Is independently developed without reference to confidential material
• Must be disclosed due to legal obligations

Documentation
Any written or digital material describing the functionality, usage, or operation of the Services.

End User
Any person or entity interacting with the Customer through the Customer’s use of the Services.

Personal Data
Information that can identify an individual either directly or indirectly.

• API development
• Technology consulting
• System integrations
• Cloud solutions
• AI and automation services
• Digital product development

Website
Any website owned or operated by Saasence including https://saasence.com.

3. License and Access Rights

Subject to compliance with these Terms, Saasence grants you a limited, non-exclusive, non-transferable right to access and use the Services solely for your internal business purposes.

No ownership rights are transferred through this access.

4. Customer Responsibilities

4.1 Account Security

• Maintaining confidentiality of login credentials
• Ensuring accounts are used only by authorized individuals
• Promptly notifying Saasence of unauthorized access

Saasence is not responsible for losses caused by compromised credentials.

4.2 Acceptable Use

• Reverse engineer or attempt to extract source code
• Interfere with infrastructure or security
• Use services for illegal or harmful activities
• Distribute malicious software
• Scrape or extract data without authorization

4.3 Customer Data Responsibility

• You own or have legal rights to use submitted data
• The data does not violate intellectual property or privacy laws

Saasence does not assume responsibility for Customer Data uploaded by users.

5. Services and Availability

Saasence continuously improves its services and may update functionality periodically. Services may occasionally be unavailable due to maintenance, infrastructure upgrades, technical issues, or third-party disruptions.

Saasence will make reasonable efforts to minimize downtime but does not guarantee uninterrupted service.

6. Intellectual Property

All intellectual property rights related to the Services, including software, systems, designs, documentation, and frameworks remain the exclusive property of Saasence or its licensors.

Customers retain ownership of their Customer Data.

7. Third-Party Integrations

The Services may integrate with third-party platforms. Use of these services is subject to their respective terms and policies.

Saasence is not responsible for the functionality, security, or reliability of third-party services.

8. Fees and Payments

• Fees are defined in proposals, order forms, or agreements
• Payments must follow invoice terms
• Fees are non-refundable unless specified
• Taxes are not included in listed prices

Failure to pay invoices may result in service suspension or termination.

9. Confidentiality

Each Party agrees to protect confidential information and use it only for contractual purposes. These obligations remain valid even after termination.

10. Data Protection

Saasence may process limited personal data necessary to deliver services, provide support, maintain systems, and improve operations.

Customers should avoid submitting sensitive personal information unless specifically required and agreed in writing.

11. Disclaimer of Warranties

Services are provided “as is” and “as available.” Saasence does not guarantee that services will be uninterrupted or error-free.

12. Limitation of Liability

To the maximum extent permitted by law, Saasence will not be liable for:

• Indirect damages
• Loss of profits
• Loss of business opportunities
• Loss of data
• Business interruption

Total liability shall not exceed fees paid in the previous 12 months.

13. Indemnification

You agree to indemnify and hold Saasence harmless from claims resulting from misuse of services, violation of these Terms, or infringement of third-party rights.

14. Termination

Either Party may terminate services according to applicable agreements or if the other Party materially breaches these Terms.

15. Governing Law

These Terms are governed by the laws applicable in the jurisdiction where Saasence operates unless otherwise agreed.

16. Changes to These Terms

Saasence may update these Terms periodically. Updated versions will be published on the website and become effective upon publication.
